General Terms and Conditions (GTC)
of Black Grading Service GmbH
§ 1 Scope
These General Terms and Conditions apply to all contracts concluded through the online shop of Black Grading Service GmbH between us and our customers.

These General Terms and Conditions apply in particular to the purchase of goods and the booking of services and grading services through our online shop.
The separate Grading & Service Terms of Black Grading Service additionally apply to grading services.
§ 2 Consumers and Businesses
A consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside their commercial or self-employed professional activity.
A business is a natural or legal person or a partnership with legal capacity that, when entering into a legal transaction, acts in the course of its commercial or self-employed professional activity.
Where individual provisions apply exclusively to consumers or businesses, this will be expressly indicated.
§ 3 Conclusion of Contract
The presentation of products and services in the online shop generally does not constitute a legally binding offer but an invitation to the customer to submit an order.
The customer may select the desired products or services and place them in the shopping cart.
Before completing the order, the customer is given the opportunity to review and, where necessary, correct their information and the selected services.
By clicking the final order button, the customer submits a binding offer to conclude a contract concerning the products and services contained in the shopping cart.
The contract is concluded when Black Grading Service expressly accepts the order or begins performing the order.
An automated confirmation of receipt constitutes acceptance of the contractual offer only where this is clearly stated in the confirmation.
§ 4 Contract Language and Contract Text
The contractual language is generally German.
Where an English-language version is provided in the online shop, information may additionally be made available in English.
The contract text is stored within the limits of legal and technical possibilities.
Order information may be made available to the customer in particular through the order confirmation and, where applicable, through the customer account.
§ 5 Prices
All prices stated in the online shop are denominated in euros.
For consumers, prices are stated including the applicable statutory value-added tax unless otherwise provided by specific statutory regulations.
Additional shipping costs or other charges are displayed to the customer before the order is completed.
The total price displayed at the time of the order is decisive.
§ 6 Payment Terms
The payment methods available in the online shop are displayed to the customer during the ordering process.
Unless otherwise agreed, payment becomes due upon conclusion of the contract.
Black Grading Service may restrict individual payment methods depending on the order value, delivery address, technical requirements or other objective reasons.
Payment processing may be carried out through external payment service providers.
Additional terms and conditions of the relevant payment service provider may apply to individual payment methods.
§ 7 Customer Account
For certain functions of the online shop, establishing a customer account may be required or optionally available.
The customer is required to provide complete and accurate information when registering and placing an order.
Changes to customer information should be updated promptly in the customer account or communicated to support where required for existing orders.
Login credentials for the customer account must be kept confidential and must not be disclosed to unauthorized third parties.
§ 8 Products and Services
The specific scope of a product or service is determined by the relevant product description in the online shop.
The applicable Grading & Service Terms additionally apply to grading services.
Black Grading Service may offer different service options, processing times, insurance levels or additional services.
The description of the service displayed at the time of the order is decisive for the respective order.
§ 9 Grading Services
By booking a grading service, the customer commissions Black Grading Service to professionally inspect and assess a submitted trading card or another accepted collectible item.
Details concerning in particular:
- submission
- QR code
- preparation and packaging
- receipt of goods
- video documentation
- card handling
- grading
- crossgrading
- possible changes in market value
- certification
- MySlaps
- Population Report
- Defect & Grading Report
- insurance
- return shipping
are governed by the separate Grading & Service Terms.
§ 10 Delivery of Goods
Where the customer orders goods, delivery will be made to the delivery address provided by the customer.
The customer is responsible for providing a complete and deliverable address.
Information regarding delivery times is provided in the relevant product description or during the ordering process.
If, exceptionally, a product is unavailable despite the corresponding order having been accepted, the customer will be informed without undue delay.
Payments already made for unavailable goods will be reimbursed in accordance with applicable statutory provisions.
§ 11 Processing Times for Services
For services and grading orders, the processing times stated in the relevant offer apply.
Unless a binding deadline has been expressly guaranteed, stated processing times are estimated or target processing times.
For grading orders, the commencement of the processing period may depend in particular on:
- receipt of the submission,
- clear assignment of the order,
- availability of all required information,
- full payment having been made.
§ 12 Shipping Costs
Applicable shipping costs are displayed to the customer during the ordering process before the order is completed.
For grading services, the costs of shipping to and returning from Black Grading Service may be governed differently.
The customer is generally responsible for properly submitting their cards to Black Grading Service.
The conditions governing return shipping are determined by the service ordered and the Grading & Service Terms.
§ 13 Transfer of Risk
The transfer of risk is governed by the applicable statutory provisions.
For consumers, the statutory rules concerning the shipment of goods apply in particular.
The Grading & Service Terms additionally apply to submissions of trading cards to Black Grading Service.
§ 14 Retention of Title
Delivered goods remain the property of Black Grading Service GmbH until full payment has been received.
Additional legally permissible retention-of-title provisions may apply to business customers.
§ 15 Vouchers, Credit and Promotional Codes
Where Black Grading Service offers vouchers, account credit, discount codes or comparable promotions, the conditions communicated at the time they are issued apply.
Unless otherwise stated:
- promotional codes cannot be redeemed for cash,
- they may be limited in time or restricted to certain products,
- multiple promotions may not necessarily be combined,
- a minimum order value may apply.
§ 16 Blackcoin
Where Blackcoin is offered within the Black Grading Service ecosystem, the terms stated in the respective area apply.
Depending on its specific implementation, Blackcoin may be structured as a digital platform function, bonus, credit or comparable system.
The applicable conditions are determined by the respective offer.
Blackcoin does not constitute a guarantee of any particular monetary, market or investment value.
§ 17 MySlaps
Where available, customers may use MySlaps to access digital information and representations relating to their appropriately registered or graded cards.
The scope of available functions depends on the respective service and the current technical functionality.
Black Grading Service may further develop or technically modify additional digital functions provided that already owed core services are not impermissibly impaired.
§ 18 Database, Certificate Verification and Population Report
Black Grading Service may provide digital functions for:
- card identification
- certificate verification
- database searches
- display of population data
The information displayed is based on the records available in the respective system.
Population figures and database records may change as a result of new grading activity or technical updates.
Population or database information does not constitute a guarantee of any particular market value of a trading card.
§ 19 Warranty for Goods
Statutory warranty rights apply to goods.
Customers are requested to report obvious transport damage to the carrier as soon as possible and to inform Black Grading Service.
Failure to make such a report does not affect the statutory warranty rights of consumers.
§ 20 Services and Contractual Performance
For services, the contractual obligation consists of the proper performance of the respective agreed service.
In particular, grading does not entitle the customer to a specific grading score unless such a score has been expressly contractually agreed.
A grade expected, hoped for or considered more economically advantageous by the customer is not automatically part of the contractual service owed.
§ 21 Market Value of Trading Cards
Black Grading Service does not guarantee:
- a particular market value
- an increase in value
- a particular resale price
- future demand
- a particular economic development
of a trading card.
The Grading & Service Terms additionally apply to the specific risks associated with grading and crossgrading.
§ 22 Liability
Black Grading Service is liable without limitation:
- in cases of intent,
- in cases of gross negligence,
- for injury to life, body or health,
- where mandatory statutory liability applies.
In the event of a slightly negligent breach of material contractual obligations, Black Grading Service shall be liable in accordance with the applicable statutory requirements.
Material contractual obligations are obligations whose fulfilment is essential for the proper performance of the contract and on whose fulfilment the contractual partner may regularly rely.
Mandatory statutory consumer rights remain unaffected.
§ 23 Force Majeure
Black Grading Service is not liable for delays to the extent that they are caused by events outside the reasonable control of Black Grading Service.
Such events may include, for example:
- natural events
- governmental measures
- operational disruptions
- failures of transport service providers
- significant technical disruptions
- strikes
- war or comparable extraordinary events
The customer's statutory rights remain unaffected.
§ 24 Right of Withdrawal
Consumers generally have a statutory right of withdrawal for distance contracts.
Details concerning the requirements, withdrawal period, exercise of the right, consequences of withdrawal, compensation for services already provided and any possible expiry of the right of withdrawal for services are set out in the separate Cancellation Policy of Black Grading Service.
For services, the right of withdrawal may expire under the statutory conditions once the contract has been fully performed.
§ 25 Early Commencement of a Service
Where the customer requests that Black Grading Service begin providing a service before the statutory withdrawal period has expired, the legally required declarations may be obtained during the ordering process.
The consequences of early commencement of the service are governed by the Cancellation Policy and applicable statutory provisions.
§ 26 Electronic Withdrawal Function
Where legally required for a consumer contract concluded through the online shop, Black Grading Service provides an electronic withdrawal function in accordance with the applicable statutory requirements.
The statutory requirements in this regard arise in particular from § 356a BGB.
§ 27 Data Protection
Black Grading Service processes personal data in accordance with applicable data protection laws.
Further details are provided in the separate Privacy Policy.
Personal data is processed in particular for:
- contract processing
- payment processing
- processing grading orders
- shipping
- customer communication
- certificate administration
- use of the customer account
- use of MySlaps
- provision of digital services
§ 28 Copyright and Usage Rights
Content of the online shop, including in particular text, graphics, images, designs, logos, software, database structures and digital representations, may be protected by copyright or other intellectual property rights.
Any use beyond the limits permitted by law requires the consent of the relevant rights holder.
§ 29 Misuse
The customer may not misuse the online shop or its digital functions.
In particular, the following are prohibited:
- attempts at manipulation
- unauthorized access to data
- abusive automated queries
- circumvention of technical protection measures
- unauthorized use of other customers' accounts
- interference with the functionality of the platform
Where there is reasonable suspicion of misuse, Black Grading Service may implement appropriate protective measures.
§ 30 Communication
Contract-related communications may be made in particular by email, through the customer account or through other communication channels specified during the ordering process.
The customer is responsible for providing an accessible email address.
The customer should ensure that emails from Black Grading Service are not completely blocked by technical filters.
§ 31 Changes to Contact Details
For ongoing orders, the customer is required to communicate significant changes to their contact or delivery information in a timely manner.
Additional costs arising solely because the customer provided an incorrect or outdated delivery address may be charged to the customer to the extent permitted by law.
§ 32 Consumer Dispute Resolution
Where required by law, Black Grading Service provides information regarding its participation or non-participation in dispute resolution proceedings before a consumer arbitration body.
The currently applicable information required by law is decisive.
§ 33 Applicable Law
The law of the Federal Republic of Germany applies.
For consumers, this choice of law applies only to the extent that it does not deprive the consumer of the protection afforded by mandatory provisions of the law of the country in which the consumer has their habitual residence.
§ 34 Jurisdiction
Where the customer is a merchant, a legal entity under public law or a special fund under public law, the registered office of Black Grading Service GmbH may be agreed as the place of jurisdiction to the extent permitted by law.
The statutory rules on jurisdiction apply to consumers.
§ 35 Relationship with the Grading & Service Terms
The separate Grading & Service Terms additionally apply to the booking and performance of grading services.
These General Terms and Conditions apply to general matters relating to the conclusion of contracts and use of the online shop.
The Grading & Service Terms additionally apply to specific matters relating to the grading process.
Mandatory statutory provisions remain unaffected.
§ 36 Final Provisions
If individual provisions of these General Terms and Conditions are or become wholly or partially invalid, the legal consequences shall be determined in accordance with the applicable statutory provisions.
The validity of the remaining provisions remains unaffected to the extent permitted by law.
